How long does SBA loan approval take? Acquisition timeline
The Small Business Administration (SBA) says it reviews a 7(a) loan application in about 5 to 10 business days, but that is only one step. When you buy a business, the valuation, financial review and environmental reports usually set the calendar. The sections below list the steps and the loan data behind them.
The purchase agreement decides what you bought, not the loan approval.

PLP versus non-delegated processing
Who approves the loan depends on the lender's authority. With a Preferred Lenders Program (PLP) lender, "the Agency does not review the Lender's analysis of the credit" before the loan number issues, so the lender approves in-house. With a non-delegated lender, "SBA will make the final determination as to the eligibility and creditworthiness of the Applicant," and the loan is approved or declined by SBA. SBA Express loans are "only processed via an SBA Express Lender's delegated authority." 7(a) Small can go either way, and a Small loan increased above $350,000 becomes a Standard loan.

The SOP says Small and Express loans may finance acquisitions, but Appendix 15 also says Standard 7(a) processing requirements apply to all change of ownership transactions. Confirm the path with the lender.

What SBA says about turnaround
SBA's published figures are 5 to 10 business days for a standard 7(a) application and 2 to 10 business days for 7(a) Small, from its 7(a) loan program page. The SOP itself sets no SBA turnaround times, and it is silent on the lender's side of the timeline: how long a lender takes to package, underwrite and submit is a matter of its own process. For SBA purposes, the "complete application" date is the date the loan is approved and assigned an SBA loan number, and the SOP has no completeness checklist.

The third-party reports behind an acquisition timeline
- Business valuation. At a business price of $350,000 or less the lender may value the business itself. Above that, the lender orders an independent valuation from a Qualified Source (an ASA, CBA, ABV, CVA or BCA credential), because "The Lender may not use a business valuation prepared for the Applicant or the seller." The lender then checks the financial data behind it against the seller's IRS transcripts.
- Quality of Earnings. At $3 million or more, for an Initial Acquisition or Business Expansion, the lender must also obtain a QoE report, which must include a Cash Proof reconciling bank statements to the income statement and tax return. The loan is sized from the QoE earnings.
- Environmental. A real estate lien triggers an Environmental Investigation, and a NAICS match on the SOP's list means a Phase I regardless of loan size. Otherwise a loan of $250,000 or less starts with a questionnaire, and a larger loan adds a Records Search with Risk Assessment. SBA's Reliance Letter is always required, and reports must be dated within one year of the loan number.
- Appraisals. Real estate in the deal is appraised for the lender, within 12 months, and by a State-certified appraiser above $1,000,000. Equipment valued above book value needs its own independent appraisal.

If contamination appears, approval is blocked "unless the risks have been minimized to the satisfaction of SBA," which can mean an indemnity, a closure letter, an escrow or collateral. The SOP gives no duration for any of these reports.

What can finish after approval
The valuation and QoE are part of a non-delegated file when it goes to SBA. A PLP lender may finish them after approval, but "a vendor must have been retained, and an engagement letter must be in place" when it receives the loan number. In practice, a PLP lender can move to approval before the valuation is done, while a non-delegated file waits for it.

The 90-day fee date and closing conditions
The SBA upfront guaranty fee is due "within 90 days of the date of loan approval." The fees explainer has the table. Closing then turns on proof of conditions: "Lenders must verify the SBA-required equity injection prior to disbursing any loan proceeds," IRS transcripts are reconciled before the first disbursement, site visits cover the applicant and the business being acquired, and funds are disbursed within 48 months. Business financials must be within 120 days, SBA Form 413 or an equivalent within 90 days, and the seller's financials cover three years.

Licenses and franchise paperwork run on their own clocks. For a Standard 7(a), license evidence is due "within no more than 90 days after final disbursement," while 7(a) Small and SBA Express list business licenses among conditions met before disbursement. A franchise brand must be on the SBA Franchise Directory, and executed franchise documents are required "prior to any disbursement of loan proceeds."

What the SBA file shows about timing
The SBA file records the approval date and the first disbursement date for each loan, so the gap between them can be measured. This site does not report that gap yet, and a future update may. What it does show is who handles these loans: of 48,902 acquisition loans (FY2018 to FY2026), the five lenders below made the most, and most of their acquisition loans were processed under the Preferred Lenders Program.
| Lender | Acquisition loans | Median loan | Processed under PLP |
|---|---|---|---|
| Live Oak Bank | 4,756 | $945,000 | 80% |
| Huntington Bank | 3,207 | $409,200 | 68% |
| Byline Bank | 930 | $1,050,000 | 86% |
| Hanmi Bank | 870 | $550,000 | 93% |
| Celtic Bank | 810 | $1,001,350 | 98% |
What this means for a business acquisition
SBA's own review is the shortest step. For a change of ownership the longer steps are the ones the SOP requires from outside parties: a lender-ordered valuation above $350,000, a QoE at $3 million or more, an environmental review when real estate or a listed industry is involved, and appraisals. Those depend on vendors, not on SBA, and the SOP sets no timetable for them. The sequence also runs against a fixed date: the upfront fee is due 90 days from approval. The complete buyer guide sets out the full list of documents, and the default-rate page shows how these loans performed after closing.
Questions buyers ask
How long does SBA loan approval take?
SBA states its review turnaround as 5 to 10 business days for a standard 7(a) application and 2 to 10 business days for 7(a) Small (sba.gov, 7(a) loan program page). SOP 50 10 8.1 sets no turnaround times. A preferred lender approves in-house, so the SBA review step may not apply, and the third-party reports usually set the calendar.
What is the difference between a PLP and a non-delegated lender?
With a Preferred Lenders Program lender, "the Agency does not review the Lender's analysis of the credit" before the loan number issues. With a non-delegated lender, SBA decides eligibility, credit and structure. SBA Express is delegated only; 7(a) Small can go either way.
Which reports take the longest in an SBA acquisition?
The SOP does not rank them. The reports it requires are an independent business valuation above a $350,000 price, a Quality of Earnings report at $3 million or more, environmental steps for commercial real estate collateral and risky industries, and appraisals of real estate and of equipment valued above book.
When is the SBA guaranty fee due?
Within 90 days of the date of loan approval. Loans approved within 90 days of each other combine, and there is no refund after disbursement. The fee may be passed to the borrower.
What has to happen before the loan closes?
The lender must verify the equity injection before disbursing, reconcile IRS transcripts before the first disbursement, and hold the conditions of approval. Expect site visits to the buyer and the business being acquired. For a franchise, the executed franchise documents are required before disbursement.
